Medort S.A., a leader of the Polish rehabilitation and orthopaedic equipment market, issued bonds worth PLN 51 million under a PLN 100m bond issue programme.
In this process, the issuer was supported by the Capital Markets Law Team of SSW. The company issued C series bonds for the value of PLN 21 million in a public offering and D series bonds for the value of PLN 30 million which were offered in a private placement. The C series bonds will be introduced to trading on the Catalyst market.
The overall process, including the drafting of issue and collateral documentation was coordinated by dr Szymon Okoń – a Partner in the Capital Markets Law Team at SSW.
In this year's Ranking of Law Firms organised by Rzeczpospolita SSW achieved an excellent result and advanced in 2 categories:

The Mergers&Acquisition team of SSW led by Dr Paweł Chyb supported Dirlango Trading & Investments Limited in the process of joint-venture with Innova Capital, a private equity fund which is to invest in Netsprint S.A. and LeadR Sp. z o.o. (portfolio companies of Dirlango, a company controlled by Łukasz Wejchert and Maciej Żak).
Netsprint is a leader of technology marketing playing a major role in the development of the Polish advertising ecosystem in such areas as contextual advertising, content marketing, audience targeting, personalisation, e-commerce. The company was ranked in the 7th place among fastest growing technology companies in Central Europe. Meanwhile, LeadR is an interactive agency specialising in the implementation of direct marketing campaigns. As a result of the transaction Netsprint will merge with LeadR.
The work of the team was coordinated by Dr Paweł Chyb, legal counsel, Parter in the M&A Department of SSW. The project was also supported by Katarzyna Solarz who specialises, among other things, in advising on M&A issues.
SSW Law Firm along with GIODO and BPCC has organized the meeting titled “Changes are coming – data protection revisited – the planned EU regulation from the perspective of the regulator and the practitioner”
On 15th March in British Embassy in Warsaw, the meeting of the British Polish Chamber of Commerce’s working group titled “Changes are coming – data protection revisited – the planned EU regulation from the perspective of the regulator and the practitioner” was held. SSW Law Firm was the co-organizer of this event in which almost one hundred representatives from leading Polish and foreign companies took part.
The prospective revolutionary changes in data protection, that will be directly applicable across the EU without a necessity to implement them in the national legislation, has been presented by Ms. Joanna Tomaszewska – PhD, attorney at law, partner responsible for the data protection practice in Spaczyński, Szczepaniak Law Firm sp.k and Mr. Piotr Drobek – Deputy of the Director of the Department of Social Education and International Cooperation of the Office of the General Inspector for Personal Data Protection.
Ms. Joanna Tomaszewska has presented the most significant changes introduced by the planned EU regulation from the perspective of their influence on functioning of entrepreneurs. Ms. Tomaszewska noticed that the whole data protection philosophy is going to change – from the regulatory/registry approach to the approach based on risk assessment, where a given entity will be obliged to apply the regulation using available instruments, mechanisms and codes of good practice.
The Director Piotr Drobek, in his speech, pointed out that although the regulation implements new obligations and standards, it is more liberal and less case-based than the current Polish act on data protection. He also noticed that it will be necessary to revise other Polish legal acts related to data protection, because in case of conflicts between provisions of the EU regulation and provisions of national legislation, the EU regulation will prevail.
To sum up, both speakers agreed that despite the fact that the new EU regulation will probably enter into force in Spring 2018, the companies should take necessary steps (including implementation of the information management mechanisms) soon, in order to be prepared for the new legal framework. Thanks to that, entrepreneurs may avoid a risk of imposing severe financial penalties for failing to comply with provisions of the EU regulation.

The Mergers and Acquisitions Team of SSW advised Dirlango Trading & Investments Limited, the majority shareholder of iTaxi.pl sp. z o.o. in process to raise PLN 8M equity finance by iTaxi.pl. sp. z o.o. from Experior Venture Fund, a venture capital fund established in cooperation with Krajowy Fundusz Kapitałowy.
iTaxi.pl is a fast-growing Polish start-up which offers an innovative taxi booking app. The app offers access to over 10 thousand taxis in over 100 Polish cities. The funds will be used for further development and improvement of services provided to both individual and corporate customers.
The work of the team was coordinated by Paweł Chyb, Ph.D., legal advisor, Parter in the M&A Department of SSW. The project was also supported by Katarzyna Solarz who specialises, among other things, in advising on M&A issues.

In this process, the issuer was supported by the Capital Markets Law Team of SSW. The bonds were introduced to trading on the Catalyst market on 18 March 2016.

On 7 March, Dominik Strzałkowski conducted a seminar dedicated to the new shape of the system supporting renewable energy based on the RES Act and its amendment during 9th Conference and Fair of the Polish Wind Energy Association.
On 5 February 2016 Dr Maciej Kruś, legal counsel, gave a lecture on the so-called Landscape Act at Budma Fair held as part of the Poznań International Fair.
The conference brought together practitioners, urban planners, architects, local administration officials and representatives of advertising agencies.
