Maciej Duch is an advocate who has participated in the largest transactions on the Polish real estate market in recent years. He specializes in offering comprehensive advice on joint venture (JV) transactions, the management of Clients’ property portfolios and greenfield or BTS (built to suit) investments. He prepares and negotiates various types of contracts, including those for the rental of commercial space (retail), office space and warehouses. He has considerable experience in matters concerning the privatization of public sector companies, corporate law and mergers and acquisitions. He has participated in swap emissions (exchange of shares/stocks) as part of corporate reorganization projects. He has advised companies during transformations and acquisitions, including share deals, asset deals, tender-offers regarding shares on the regulated market (WSE) and concentration proceedings before the President of the Office for Competition and Consumer Protection.

The most recent projects:

  • Creating one of Poland’s largest real estate holdings and coordinating comprehensive legal services for the project, in particular by identifying and eliminating risks concerning implementation of the legal structure (transaction value over PLN 2 billion). Assisted in public offering (IPO), following the admission of its shares to the regulated market (WSE)
  • Advising on complex infrastructure projects associated with the development/modernization of public facilities (including railway stations and the most modern inter-modal communications centre in Poland), also based on a JV structure
  • Provided legal support of an ongoing joint venture to form a strategic partnership in the Park of Poland project concerning the development and future operation of an entertainment part in Mszczonów, including specifically the negotiation and execution of the JV agreement - estimated project value – PLN 400 million
  • Managed the process of a transaction between a leading postal operator and a public real estate company; area expansion in a building complex being under construction in the Warsaw's Mokotów district (over 18,000 sq m GLA – transaction value approx. PLN 80 million)
  • Brought to a close the acquisition transaction for approx. 40 ha of brownfield property located in Silesia, close to A1 motorway to be used for the development of a warehousing and commercial project – transaction value approx. PLN 70 million
  • Carried out the sale transaction for the chain of 41 off-licence stores to Carrefour Polska, undertaken as part of the divestment process of a French group in Poland – transaction advisory (locked box structure), bringing the transaction to a close, including the advice during the antitrust procedure
  • Led the process of Client's sale of the rights to brownfield property in the South of Poland – transaction value approx. PLN 65 million
  • Provided a comprehensive legal support of the development process – construction of office and commercial buildings with GLA of approx. 20,000 sq m (strategic options analysis and negotiations concerning the acquisition of the properties required for the development of the project from public and private entities through a public tender, exchange, purchase, clarification of the legal status of individual plots) – investment value approx. EUR 25 million
  • Led the sale transaction process for a developed property located in the Warsaw's Mokotów district, designated for  commercial development (offices + services) for a leading international developer operating on the Polish market – transaction value approx. EUR 10 million
  • Provided legal advice to an investment fund in the process of restructuring its assets located in Poland – one of the commercial centres in Warsaw – transaction value approx. PLN 230 million
  • Negotiated and finalised the signing of an agreement concerning the implementation of a development process (premium customized apartments), advice in respect of the purchase of a number of apartments and takeover of the construction process from the investor in connection with the adopted transaction structure – value approx. PLN 20 million
  • Conducted a due diligence of a housing developer – a leader on local markets (analysis of 42 residential projects) for the buyer in connection with the acquisition and control takeover process
  • Conducted a transaction concerning the acquisition of a developed property (office building) in the centre of Poznań through the purchase of a mortgage claim from a bank, advising during the talks with the bank and sellers, in raising the funding and with respect to further development/optimisation of the property value, legal support of the process of secured bonds issue
  • Comprehensive legal support in connection with bundled farmland acquisitions (over 1,500 ha) from private entities
  • Negotiating (on behalf of one of the world’s largest business groups within the electronics industry) the conditions of warehouse space lease in a turn-key standard (GLA approx. 16,000 sq m)
  • Negotiated and finalised the signing of an office lease agreement (GLA approx. 4,500 sq m - Andersia Business Centre) in the process of relocation, including the fit-out, of one of the largest groups in the Polish FMCG sector
  • Advised in the relocation process of an international automotive player (Poznań Business Garden, GLA approx. 3,500 sq m) – negotiations of the Head of Terms and the lease agreement
  • Comprehensive legal and business support in the relocation process of a company operating in the wine and spirits market (“The Park Warsaw”, GLA approx.1,600 sq m) – LOI and lease agreement (turnkey)
  • Advising clients on restitution proceedings related to the effects of the so-called Warsaw Decree, nationalization and communalization of real estate throughout the country; participation in works related to the amendment of regulations for so-called compensation for property beyond the Bug River
