Michał Badowski, a legal advisor, specialising in commercial companies law. He deals with current issues of business companies, including consulting services within corporate law and negotiations of commercial contracts. He is experienced at restructuring processes. As a part of his practices, he provided consulting services in the scope of preparing internal regulations in the scope of corporate governance and auditing of applied solutions. He is also the advisor to Management Boards of companies on competence division, liability, and holding law. He also provides comprehensive consulting services in the scope of mergers and takeovers for national and international investors, including those listed on the stock exchange, in particular at company acquisition projects. Moreover, he provides consulting services to clients within the food law.

The most recent projects:

  • He conducted a several-year long process of complex consolidation (with the use of various techniques, including mergers) of companies owned by one the largest energy groups in the world, including counselling in development of the restructuring model and transaction-related issues as well as introduction of corporate governance principles;
  • He managed processes of liquidation of owners’ companies and he supported clients in practice in this scope, among other things, for developer companies and a larger European company operating in shipyard industry;
  • He provided counselling in restructuring projects, including development of the concept and the process of merging, dividing, and restructuring for, among other things, companies owned by the group of a global tycoon in steel industry, large world group of alcohol producer, and one of large cooperative saving banks;
  • He carried on large projects in the scope of company law (including redemptions and buyout of shares in joint stock companies with distributed shareholder structure), in particular the processes of squeeze-out and sell-out;
  • He conducted corporate governance audits, including analysis of applied solutions and internal regulations for, among other things, a company – operator of one of the largest Polish airports;
  • He completed comprehensive transactions of selling shares in a subsidiary of a large public company in chemical industry, including negotiations of the sales of shares, he closed the transaction and negotiated documents related to financing and effecting the payment;
  • He conducted projects and provided counselling while selling organised parts of a company, among other things, for companies owned by one of the largest oil industry companies in Central Europe;
  • He provided complex legal services concerning process of purchasing privatised State Treasury companies, including development of appropriate documentation and negotiations with representatives of appropriate Ministries for investors (among others, in metallurgy and chemistry industries), he developed and provided the opinion on  unique privatisation techniques.
