Szymon Okoń, Attorney at Law, Doctor of Laws and Doctor of Economics in the field of finance. Associate Professor at the Department of Investment and Capital Markets at the Poznań University of Economics. Graduate of law at the Adam Mickiewicz University in Poznań and of finance at the Poznań University of Economics. His main fields of expertise include M&A transactions, legal and financial aspects of capital markets and finance & banking. Szymon also studied at the Edinburgh Napier University and the London School of Economics and Political Science. His track record includes having been involved with numerous transactions and restructuring projects and with the provision of corporate advisory services. He is also experienced in the regulatory environment of financial markets. He has advised on the disclosure requirements associated with trade in financial instruments, including having developed structures aimed at their optimisation.

  • He took part in a project aimed at establishing and defining the governance principles of an investment fund (target assets approx. PLN 500 million) in an investment fund company (under the so-called white label formula), for one of recognised and experienced hedging fund managers in New York and London
  • He advised during the process of issuing bonds by a furniture company (a WSE listed company), which included preparation of a full package of issuance-related documents, including collateral documentation, proceedings before the National Depository for Securities (KDPW) and WSE (the bonds were introduced to trading on Catalyst)
  • He advised in the enforcement of claims of a Swiss bank client against one of the largest platforms operating on the FOREX market, based in the UK
  • He was involved in the process of issuing bonds by a biofuels company, which included the establishment and administration of collaterals in several jurisdictions (including German land charge, pledges on shares in German companies, insurance assignment agreements, subordination agreements)
  • He advised during the process of issuing bonds by a construction company (a WSE listed company), which included preparation of a full package of issuance-related documents, negotiating with financial institutions, proceedings before the National Depository for Securities (KDPW) and WSE (the bonds were introduced to trading on Catalyst)
  • He took part in the process of raising PLN 55 million in acquisition financing and PLN 7.5 million of operating loan for a Paged Group company listed on the WSE (negotiations and support in the process of alignment of the loan documentation package prepared in accordance with the LMA standard, comprising the loan agreement and collaterals)
  • He advised in the disposal of receivables by one of the largest foreign banks operating in Poland, via a securitisation fund
  • He participated in the audit of the current and planned structure of a private equity fund (investing in medium-sized companies from the CEE region, which invested over EUR 600 million in over 40 projects in 10 countries), aimed at the alignment to the requirements resulting from the Alternative Investment Fund Managers Directive (AIFMD)
  • Dr Okoń participated in the preparation of the prospectus of ASM Group S.A., a company providing comprehensive sales support services, currently listed on NewConnect
  • He provided general legal advice to Krynica Vitamin S.A. during the IPO process, including drafting of the prospectus and representing the company in the proceedings before the Polish Financial Supervision Authority (PFSA), National Depository for Securities (KDPW) and WSE
  • He participated in the process of issuing bonds by Famur S.A. (a WSE listed company), which included preparation of the full documentation package for the issuance (bond programme for the amount of PLN 500 million), proceedings before the National Depository for Securities (KDPW), WSE and Bondspot (the bonds were introduced to trading on Catalyst)
  • He participated in the process of issuing bonds by Medort S.A., which included preparation of the the documentation package for the issue (bond programme for the amount of PLN 100 million), proceedings before the National Depository for Securities (KDPW), WSE and Bondspot (the bonds were introduced to trading on Catalyst )
  • He advised in the process of raising PLN 70 million in financing for the purpose of refinancing bonds for a Paged Group company listed on the WSE (negotiations and support in the process of alignment of the loan documentation package prepared in accordance with the LMA standard, comprising the loan agreement and collaterals)
  • He took part in the drafting of the prospectus for PGS Software S.A., one of the largest IT companies in Poland, currently listed on the NewConnect market, and represented the company in the proceedings before the PFSA and WSE
  • He is involved in the process of raising PLN 85 million in financing (construction loan, investment loan, VAT financing loan) in connection with a development project concerning the construction of a class A office and commercial building (negotiations and support in the process of aligning the loan documentation package according to LMA standard, comprising the loan agreement together with collaterals)
  • He has been supporting PlayWay S.A. a producer of mobile and computer games, in the IPO process, which includes drafting of the prospectus and representing the company in the proceedings before the PFSA, KDPW and WSE
  • He supported Vantage Development S.A. (WSE listed company) in their 50 milion bond issue process, including the procedure before the National Depository for Securities (KDPW)
  • Participation in the bond issue process undertaken by Eurocent S.A, which included the drafting of issue-related documentation (bond issue programme for the value up to PLN 8 million)
  • He has been advising one of the subsidiaries of a furniture group, listed on the WSE, in the process of raising PLN 110 milion financing (multi-purpose overdraft facility)
  • He has been also involved in the drafting of the prospectus for T-Bull S.A., a mobile game developer currently listed on the NewConnect market, and represents the company in the proceedings before the PFSA and WSE
